APPOINTMENT OF DIRECTOR

The board of directors ('Board') has decided to nominate Mrs Sharmistha Dubey (51) for
appointment as an independent non-executive director of Prosus at the next annual
general meeting.

Mrs Dubey holds a Bachelor of Science, Engineering, Indian Institute of Technology, India
(1993) and a Master of Science, Engineering from Ohio State University, USA (1996).

Mrs Dubey is currently chief executive officer for Match Group, overseeing growth for the
portfolio of brands including Tinder, Match, Meetic, OkCupid, Hinge, Pairs, Plenty of Fish,
and OurTime.

She is also a board member and member of the compensation committee for Fortive
Corporation. Fortive is an industrial engineering company, that is more focused on
hardware driven businesses. They have been on a journey to become a hybrid adding
Software/SaaS to their offering.

With from 1 April 2022, Mrs Dubey is expected to be appointed as an independent non-
executive director of Naspers Limited. Mrs Dubey is expected to be classified as an
independent non-executive director of Naspers under the King Report IV on Corporate
Governance for South Africa, 2016 and Prosus under the Dutch Corporate Governance
Code.
