Notice is hereby given as required in terms of Section 45(5) of the Companies Act that pursuant to the
authority granted to the board of L2D (Board) by its shareholders at the annual general meeting of
shareholders held on 10 May 2019, the Board has adopted a resolution to continue to provide direct
or indirect financial assistance (including by way of loans and guarantees) in the ordinary course of
business to its wholly owned subsidiary, 2 Degrees Properties (Pty) Limited, as contemplated in
section 45 (2) of the Companies Act.
