CHANGES TO THE COMPOSITION OF BOARD SUBCOMMITTEES

In compliance with paragraph 3.59 of the JSE Limited Listings Requirements, shareholders are advised that Ms Lulama
Boyce has resigned as the chairperson of the Human Resources & Remunerations Committee (RemCom), as a member
of the Nominations Committee (NomCom) and as a member of the Audit Committee, with effect from 7 May 2021.
Following her appointment to the board of The Bidvest Group Limited (as announced on the Stock Exchange News
Service (“SENS”) on 12 March 2021), Ms Boyce was no longer being considered an independent director at Adcock
Ingram. Ms Boyce remains a non-executive director of the Company.

Furthermore, shareholders are referred to the Company’s SENS announcement of 23 February 2021, which stated that
the NomCom would review the composition of the various Board subcommittees, following Mr Lindsay Ralph’s
resignation from the Adcock Ingram Board. Consequently, the Board advises shareholders of the following changes to
the Board subcommittees, with effect from 7 May 2021:

-   Ms Mpumi Madisa has been appointed as the chairperson of the NomCom and of the Acquisitions Committee,
    and as a member of the RemCom;
-   Prof Matthias Haus has been appointed as the chairperson of the RemCom;
-   Dr Claudia Manning been appointed as a member of the Audit Committee;
-   Ms Debbie Ransby has been appointed as a member of the Acquisitions Committee;
-   Dr Sibongile Gumbi has been appointed as a member of the RemCom; and
-   Prof Mike Sathekge has been appointed as a member of the NomCom.
