Shareholders are referred to the announcement published on 21 August 2020 relating to the capitalisation issue
at a ratio of 4.2920 ordinary shares for every 100 ordinary shares held by NEPI Rockcastle shareholders on
Friday, 11 September 2020.

Shareholders are advised that a total of 25 791 534 new NEPI Rockcastle shares (“Capitalisation Shares”)
will be issued on market as listed shares on Monday, 21 September 2020 in terms of the capitalisation issue.
The Capitalisation Shares, when issued, will be credited as fully paid and will rank pari passu in all respects
with the existing issued shares and will be fully fungible.

Following the issue of the Capitalisation Shares, the total issued share capital of the Company will increase to
626 712 667 ordinary shares with a par value of 0.01 each. Therefore, the total number of voting rights in
NEPI Rockcastle will be 626 712 667 with effect from Monday, 21 September 2020.
